1. Introduction and Acceptance of Terms

Welcome to VIC WEALTH IMF LLP ("Company", "we", "us", or "our"). These Terms and Conditions ("Terms") govern your use of our website, services, and products related to mutual fund distribution and insurance services.

By accessing our website, registering for our services, or engaging with us in any manner, you ("User", "Client", "you", or "your") acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy.

If you do not agree to these Terms, please do not use our services.

 

2. Definitions

  • "Services" means all mutual fund distribution, insurance broking/advisory services, financial planning, and related services provided by the Company.
  • "Platform" means our website, mobile applications, and any digital interface through which Services are offered.
  • "Client" means any individual or entity utilizing our Services.
  • "AMC" means Asset Management Company.
  • "RTA" means Registrar and Transfer Agent.
  • "KYC" means Know Your Customer.
  • "NAV" means Net Asset Value.
  • "SIP" means Systematic Investment Plan.
 

3. Eligibility and Registration

3.1 Eligibility Criteria

To use our Services, you must:

  • Be at least 18 years of age (for minors, services through legal guardian)
  • Be a resident of India or NRI/PIO as per applicable regulations
  • Have legal capacity to enter into binding contracts
  • Possess a valid PAN (Permanent Account Number)
  • Complete KYC requirements as mandated by SEBI/IRDAI

3.2 Account Registration

You must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately of any unauthorized access or security breach. You may not transfer or share your account with others.

We reserve the right to suspend or terminate accounts that violate these Terms.

3.3 KYC Compliance

  • Completion of KYC is mandatory as per SEBI/IRDAI regulations
  • You must submit valid identity proof, address proof, PAN, and photographs
  • You authorize us to verify your information with KYC Registration Agencies (KRAs)
  • You must update your KYC information whenever there are changes
  • Non-compliance may result in suspension of services
 

4. Nature of Services

4.1 Mutual Fund Services

We provide the following mutual fund related services:

  • Distribution of mutual fund schemes of various AMCs
  • Assistance in account opening and KYC completion
  • Facilitation of purchases, redemptions, switches, and SIP registrations
  • Portfolio tracking and reporting
  • Transaction execution through authorized channels
  • Advisory services (where applicable and authorized)

Important: We act as distributors/intermediaries. Investments are directly with AMCs, not with us.

4.2 Insurance Services

We provide the following insurance related services:

  • Distribution of life insurance, general insurance, and health insurance products
  • Assistance in policy purchase and claims processing
  • Policy comparison and needs analysis
  • Renewal reminders and servicing support
  • Advisory services (where applicable and authorized)

Important: Insurance policies are issued by respective insurance companies, not by us. We act as intermediaries.

4.3 Advisory Services

  • Financial planning and goal-based advice
  • Risk profiling and asset allocation recommendations
  • Portfolio review and rebalancing suggestions
  • Investment suitability analysis

5. Regulatory Framework and Compliance

5.1 Regulatory Registrations

We operate under the regulatory framework of:

  • Insurance Regulatory and Development Authority of India (IRDAI)
  • Other applicable financial sector regulators

5.3 Client Obligations

You agree to:

  • Provide true, accurate, and complete information
  • Comply with all applicable laws and regulations
  • Not engage in money laundering or fraudulent activities
  • Read all scheme documents and policy documents before investing
  • Understand the risks associated with investments
  • Make investment decisions independently or based on our advice
 

6. Mutual Fund Specific Terms

6.1 Investment Process

  • All mutual fund investments are subject to acceptance by the respective AMCs
  • Units are allotted at the applicable NAV as per scheme rules
  • We do not guarantee allotment of units
  • Investments are subject to availability and operational cut-off times
  • Transaction confirmations are issued by RTAs, not by us

6.2 Risks and Disclaimers

MUTUAL FUND INVESTMENTS ARE SUBJECT TO MARKET RISKS. READ ALL SCHEME RELATED DOCUMENTS CAREFULLY BEFORE INVESTING.

  • Past performance is not indicative of future returns
  • NAV may go up or down depending on market conditions
  • No guaranteed returns on mutual fund investments
  • Capital is at risk and may result in loss
  • Different schemes have different risk profiles
  • We are not responsible for market performance or AMC decisions

6.3 Commissions and Fees

We may receive commissions/trail fees from AMCs for distribution services.

  • Such commissions do not constitute additional cost to you
  • Direct plan investments (if facilitated) have lower expense ratios
  • Details of commission structure available on request
  • We may charge advisory fees separately (if applicable)

6.4 Transaction Execution

  • Transactions are processed on best-effort basis
  • We are not liable for delays due to technical issues, bank holidays, or RTA/AMC systems
  • Incorrect information provided by you may result in transaction rejection
  • You must verify transaction confirmations from RTAs
  • We are not responsible for errors in third-party systems

6.5 Redemption and Withdrawal

  • Redemption requests subject to exit loads and lock-in periods (if applicable)
  • Tax implications are your responsibility
  • Redemption proceeds credited as per AMC/RTA timelines
  • We facilitate redemption but do not control processing times
 

7. Insurance Specific Terms

7.1 Policy Issuance

  • Insurance policies are issued solely by insurance companies
  • Policy issuance subject to underwriting and acceptance by insurers
  • We act as intermediaries and facilitators only
  • Medical examinations and documentation as required by insurers
  • Premium quotes are indicative and subject to final insurer approval

7.2 Disclosures and Declarations

  • You must make true and complete disclosures in proposal forms
  • Non-disclosure or misrepresentation may lead to claim rejection
  • Pre-existing conditions must be declared accurately
  • You are responsible for accuracy of information provided to insurers
  • We are not liable for claim rejections due to non-disclosure

7.3 Premium Payment

  • Premium payment is your responsibility
  • Timely payment required to keep policies in force
  • Grace periods as per policy terms and conditions
  • We may send reminders but are not responsible for policy lapses
  • Premium rates are determined by insurance companies, not by us

7.4 Claims Assistance

We provide assistance in claims documentation and submission. Final claim settlement decision rests with the insurance company. We do not guarantee claim approval or settlement amounts.

Claims are subject to policy terms, conditions, and exclusions. You must comply with all claim documentation requirements.

7.5 Cooling-Off Period

  • Free-look period (typically 15-30 days) as per IRDAI regulations
  • You may cancel policies during free-look period with minimal charges
  • We will assist in cancellation process if requested
  • Refund as per insurer's terms and conditions

7.6 Commissions

  • We receive commissions from insurance companies for distribution
  • Commission structure as per IRDAI regulations
  • Does not constitute additional cost to you (included in premium)
 

8. Advisory Services Terms

8.1 Scope of Advisory

  • Advisory services based on information provided by you
  • Recommendations consider your risk profile and financial goals
  • Advice is not a guarantee of returns or outcomes
  • We do not promise or assure specific investment performance
  • You make final investment decisions

8.2 Advisory Fees

  • Fee structure will be clearly communicated before engagement
  • Fees may be asset-based, fixed, or hourly as agreed
  • Separate agreement for advisory services may be executed
  • Fees are exclusive of taxes unless specified

8.3 Limitations

  • We do not manage client funds or assets
  • No discretionary portfolio management services offered
  • Implementation of advice is at your discretion
  • We are not responsible for consequences of not following advice
  • Market conditions may change, affecting recommendations
 

9. Fees, Charges, and Payments

9.1 Service Charges

  • Distribution services for mutual funds: Typically no direct charge (commission from AMC)
  • Insurance distribution: Commission from insurance companies
  • Advisory fees: As per separate agreement
  • Transaction processing charges: If applicable, will be disclosed
  • Other charges: Will be communicated in advance

9.2 Payment Terms

All payments must be made through banking channels. Cash transactions not accepted (except as per RBI limits). Payment receipts will be provided.

Refunds (if applicable) as per our refund policy.

9.3 Taxes

  • All fees exclusive of applicable taxes (GST, etc.)
  • Tax deducted at source (TDS) as per Income Tax Act
  • You are responsible for tax implications on investments
  • We are not tax advisors; consult tax professionals
 

10. Client Obligations and Responsibilities

10.1 Information Accuracy

  • Provide accurate, complete, and current information
  • Update information promptly when changes occur
  • Inform us of any material changes affecting your profile
  • Verify all documents and confirmations received

10.2 Due Diligence

  • Read all offer documents, scheme information documents, and policy documents
  • Understand risks associated with investments
  • Make independent investment decisions or rely on our advice responsibly
  • Not rely solely on past performance data
  • Understand that investments can result in loss

10.3 Documentation

  • Provide all required KYC and transaction documents
  • Sign applications and forms accurately
  • Maintain copies of all documents for your records
  • Respond to queries from us, AMCs, or insurance companies promptly

10.4 Prohibited Activities

  • Use our services for illegal purposes or money laundering
  • Provide false or misleading information
  • Attempt to manipulate or defraud systems
  • Violate any applicable laws or regulations
  • Engage in activities that harm our reputation or operations
 

11. Intellectual Property Rights

11.1 Ownership

All content on our Platform (logos, text, graphics, software, etc.) is our property or licensed to us. Protected by copyright, trademark, and intellectual property laws. You may not reproduce, distribute, or modify without permission.

11.2 Limited License

We grant you limited, non-exclusive, non-transferable license to use our Platform for personal, non-commercial use only. License terminates upon violation of these Terms.

11.3 Trademarks

"VIC WEALTH IMF LLP" and associated marks are our trademarks. Third-party product names and logos belong to respective owners. No license or right to use trademarks granted unless explicitly stated.

 

12. Privacy and Data Protection

12.1 Data Collection and Use

  • We collect, use, and protect your data as per applicable laws
  • You consent to data processing as described in Privacy Policy

12.2 Data Sharing

Your information may be shared with AMCs, insurance companies, RTAs, and regulatory authorities. Sharing done for service delivery and regulatory compliance. We do not sell your personal information to third parties.

12.3 Data Security

We implement reasonable security measures. However, no system is completely secure. You are responsible for maintaining confidentiality of login credentials.

 

13. Communication and Notifications

13.1 Communication Channels

We may communicate via email, SMS, phone, WhatsApp, or postal mail. You consent to receiving communications related to services. Transactional and regulatory communications cannot be opted out.

13.2 Electronic Records

You agree to receive documents and communications electronically. Electronic records have same validity as physical documents. Ensure your contact details are current for receiving communications.

13.3 Marketing Communications

You may receive promotional materials about our services. You can opt-out of marketing communications at any time. Opt-out will not affect service-related communications.

 

14. Disclaimers and Limitations of Liability

14.1 General Disclaimers

  • We do not guarantee uninterrupted, error-free, or secure services
  • Technical issues may occasionally affect service availability
  • We are not liable for third-party service failures (AMCs, RTAs, insurers, payment gateways)

  • We do not guarantee investment returns or outcomes
  • Investments are subject to market risks and can result in loss
  • We are not responsible for market volatility or economic conditions
  • NAV fluctuations are beyond our control

14.3 Third-Party Products

Mutual fund schemes are products of AMCs. Insurance policies are products of insurance companies. We are intermediaries and not manufacturers of products. Product performance, claims, and servicing are insurer/AMC responsibilities. We are not liable for product defects or performance issues.

14.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • We are not liable for indirect, incidental, consequential, or punitive damages
  • Our liability limited to amount of fees received from you (if any) in the preceding 12 months
  • We are not liable for investment losses, missed opportunities, or market movements
  • We are not liable for errors or delays in third-party systems
  • Force majeure events exempt us from liability

14.5 Exclusions

We are not liable for:

  • Losses due to your failure to follow advice or instructions
  • Consequences of providing incorrect or incomplete information
  • Unauthorized access to your account due to your negligence
  • Technical issues beyond our reasonable control
  • Regulatory changes affecting investments or policies
  • Actions or omissions of AMCs, insurance companies, RTAs, or other third parties
 

15. Indemnification

You agree to indemnify, defend, and hold harmless VIC WEALTH IMF LLP, its partners, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:

  • Your violation of these Terms
  • Your violation of any laws or regulations
  • Your provision of false or misleading information
  • Unauthorized use of your account
  • Your investment decisions and outcomes
  • Claims by third parties related to your use of services
 

16. Force Majeure

We shall not be liable for any failure or delay in performing obligations due to circumstances beyond our reasonable control, including but not limited to:

  • Natural disasters, pandemics, acts of God
  • War, terrorism, riots, civil unrest
  • Government actions, regulations, or restrictions
  • Strikes, labor disputes
  • Technical failures, internet outages, cyber attacks
  • Failure of third-party service providers
  • Market closures or trading halts
 

17. Termination

17.1 Termination by Client

  • You may terminate services by written notice to us
  • Existing investments/policies continue as per their terms
  • You remain liable for pending obligations and fees

17.2 Termination by Company

We may suspend or terminate your access if:

  • You violate these Terms or applicable laws
  • You provide false or misleading information
  • You engage in fraudulent or illegal activities
  • Your account remains inactive for extended period
  • Required by regulatory authorities
  • At our discretion with reasonable notice

17.3 Effect of Termination

Your right to use our services ceases immediately. Outstanding fees and obligations become due. Existing investments/policies continue with AMCs/insurers. We may retain records as required by law. Provisions intended to survive termination will continue.

18.2 Resolution Timeline

19. Modification of Terms

19.1 Right to Modify

  • We reserve the right to modify these Terms at any time
  • Changes effective upon posting on our website
  • Material changes will be notified via email or prominent notice
  • Continued use after changes constitutes acceptance

19.2 Review Responsibility

You are responsible for reviewing Terms periodically. Current version always available on our website. Date of last update displayed at the top.

20.2 Conflict of Interest

We may receive commissions from product manufacturers. Such arrangements do not influence our recommendations. We maintain professional standards in all client dealings. Conflicts of interest, if any, will be disclosed.

20.3 Non-Guarantee Clause

We do not guarantee returns or performance. Historical performance data provided for reference only. Future returns depend on market conditions. Investment decisions are at your own risk.

 

21. Jurisdiction and Dispute Resolution

21.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

21.2 Jurisdiction

Subject to arbitration provisions below, courts at Kolkata shall have exclusive jurisdiction over disputes arising from these Terms.

21.3 Arbitration

Disputes may be referred to arbitration as per Arbitration and Conciliation Act, 1996. Single arbitrator mutually appointed. Seat of arbitration: Kolkata. Language: English. Arbitration costs as per arbitrator's decision.

21.4 Limitation Period

Any legal action must be commenced within one year of the cause of action arising, unless extended by applicable law.

 

22. Miscellaneous Provisions

22.1 Entire Agreement

These Terms, along with Privacy Policy and other referenced documents, constitute the entire agreement between you and us.

22.2 Severability

If any provision is found invalid or unenforceable, remaining provisions continue in full force and effect.

22.3 Waiver

Failure to enforce any right or provision does not constitute waiver of such right or provision.

22.4 Assignment

  • You may not assign or transfer your rights under these Terms
  • We may assign our rights and obligations to successors or affiliates
